    If you’re doing business in Australia, or planning to do so, it’s important to understand the country’s corporate tax laws. Here’s what you need to know:

    Overview

    Companies that are residents of Australia are subject to Australian income tax on their worldwide income. Meanwhile, non-resident companies are typically taxed only on income sourced from Australia, unless they qualify for an exemption under a double taxation agreement (DTA).

    Corporate Tax Rates

    All companies in Australia are subject to a federal tax rate of 30% on their taxable income. However, small or medium-sized businesses are subject to a reduced tax rate of 25%, provided that their total annual turnover (along with certain connected entities) is less than AUD 50 million.

    To ensure integrity, companies must also meet strict requirements to qualify for the reduced tax rate, including a limit on the percentage of passive income they derive.

    There are no state or municipal taxes on income in Australia, which simplifies the tax system for businesses operating in the country.

    Corporate Residency in Australia

    Australia’s tax law treats companies incorporated in Australia as Australian residents for tax purposes. Additionally, foreign companies may be deemed as Australian residents if they carry on business within the country, with either their central management and control in Australia or their voting power controlled by Australian resident shareholders.

    The Australian Taxation Office (ATO) has provided guidance that foreign incorporated companies with central management and control in Australia are considered residents under the central management and control test, even if none of their trading or investment operations occur within Australia. The former government proposed changes to the law in order to clarify that a foreign incorporated company will only be treated as an Australian tax resident if it has a “significant economic connection to Australia.” It is unclear whether this proposal will proceed due to a change of government.

    Permanent establishment (“PE”)

    The concept of Permanent Establishment (PE) is established in both domestic law and various Double Taxation Agreements (DTAs) concluded with Australia. It is important to consider the definition of PE contained in the relevant DTA, as this will usually have priority over domestic law.

    Broadly, under Australian domestic law, a PE is a place where a person carries out any business, which includes:

    • A place where the person is carrying out business through an agent, except where the agent does not have or habitually exercise authority to negotiate and conclude contracts on behalf of the person.
    • A place where the person has, is using, or is installing substantial equipment or substantial machinery.
    • A place where the person is engaged in a construction contract.
    • A place where the person is engaged in selling goods manufactured, assembled, processed, packed, or distributed by another person for, or at or to the order of, the first-mentioned person and either of those persons participates in the management, control, or capital of the other person or another person participates in the management, control, or capital of both of those persons.

    Most DTAs have a definition of PE that is similar, but not identical, to the definition under Australian domestic law.
