    STEP THREE

    Each Tax Native has to accept a question from an Explorer before a conversation can begin. Once the Tax Native has accepted your question, a quote will be submitted for approval through the messaging portal.

    What is M&A Tax?

    There are few considerations to make when it comes to M&A tax, all under different forms of tax.

    • Stamp Duty – The most upfront tax, levied on the purchase price of shares or assets. It stands at 0.5%, though exemptions apply, such as for reorganisations within corporate groups.
    • Share Sale Gains – Sellers of shares must pay capital gains on any profit made. Individual rates differ based on shareholding percentages. These can range from 0% to 20%.
    • Loss relief – If acquiring a struggling business, a business may claim tax relief on losses in order to mitigate the overall tax burden.
    • Treaties and double taxation relief – Cross-border M&As involve additional complexities, so understanding them and claiming double taxation relief where possible can leave a major dent to your total tax.
